Position Overview / Summary: Senior counsel will support the insurance, reinsurance and legal/regulatory/finance/claim functions performed by the companies Legal team. This individual is responsible for drafting, reviewing, and negotiating various types of agreements critical to the fronting business model: general agency agreements, and their companion reinsurance and claim agreements, and various ancillary agreements, including collateral agreements and servicing agreements. Due to the fast-paced nature of the legal and insurance business environments, this individual must have excellent analytical skills and be able to quickly adapt to change and to multi-task various assignments. The individual must be able to provide legal guidance that balances both legal and regulatory requirements while meeting business objectives. |
Role and Responsibilities: - Draft, negotiate, manage, and monitor various new and renewal contracts for assigned programs in accordance with the business standards and regulatory environment.
- Review, analyze and interpret new or revised laws, regulations, bulletins, and regulatory publications applicable to the business, as directed.
- Provide legal advice and guidance to internal constituencies and external stakeholders, as directed.
- Develop guidelines and/or processes for transactional, regulatory and compliance projects, including corporate governance, as directed.
- Additional duties as directed.
Required Skills, Key Competencies and Experience: - Must have strong communication skills in framing and presenting legal and business perspectives and offering views in a concise and clear manner to internal business units and outside business partners.
- Familiarity with general agency agreements, claims administration agreements, reinsurance agreements, non-disclosure agreements, and service agreements.
- Demonstrated in-house experience advising and providing practical solutions to internal clients on contractual provisions with general agents, reinsurers, third-party administrators and vendors.
- Good understanding of commercial lines, personal lines and specialty insurance products and regulations applicable to such lines and products.
- Ability to effectively organize, prioritize, and meet deadlines for multiple, simultaneous projects.
- Strong analytical ability to draft and review contracts and analyze policy provisions, inclusive of coverage related matters.
- Demonstrated ability to successfully work independently as well as within a team to support the goals of the company.
- Good time management and high attention to detail are critical to this position
Qualifications and Education Requirements - Bachelor's degree.
- Juris Doctorate from an accredited law school and currently licensed to practice law in at least one U.S. jurisdiction.
- 8+ years related experience within a law firm and/or in-house insurance legal department.
- Prior Property and Casualty Program business experience is a plus.
- Experience drafting and negotiating various agency, reinsurance, claims and vendor contracts, inclusive of handling contentious matters.
