Associate Counsel - International Insurance and Regulatory Operations
Our client, a major global P&C insurance company, are seeing a new Associate Counsel (due to exciting growth on the team) to come in and support the global insurance regulatory function and international insurance operations of the company.
The Role
The attorney will be responsible for providing and coordinating legal support in connection with U.S. domestic and international insurance regulatory and (re)insurance licensing matters, and international corporate and transactional matters. This role reports to the Associate General Counsel - International Insurance and Regulatory Operations and involves close collaboration with various departments throughout the organization. Key responsibilities:
- Provide and coordinate insurance regulatory support for the organization's global insurance operations.
- Work closely with the insurance regulatory licensing team, consisting of non-attorney legal professionals, to ensure compliance with domestic and international (re)insurance company regulations and (re)insurance company licensing, registration, reporting, and filing requirements.
- Coordinate with domestic and international insurance regulators and governmental agencies in connection with (re)insurance company licensing and registration and related matters.
- Collaborate closely with the organization's finance and business units to prepare and update various types of domestic and international insurance regulatory and licensing submissions, including enterprise risk reports, registration statements, business and operational plans, and disclosures for quarterly and annual financial statements, among others.
- Provide legal and regulatory assistance to support the organization's international insurance operations, including transactional, corporate governance, and insurance regulatory matters.
- Assist with expanding the organization's insurance operations globally, including incorporating companies, establishing insurance company branches, and securing (re)insurance licenses and registrations.
- Provide legal advice in regard to various corporate transactions, including mergers and acquisitions; joint ventures; restructurings; strategic partnerships; drafting standard-form contracts; advising internal business clients on contract law as applicable; and reviewing and revising commercial contracts.
- Assist with the development of organization-wide strategic and operational goals and work closely with the appropriate business units in their operational execution.
- Consult on corporate governance activities, including advising on Board and Shareholder issues and advising on governance-related laws and regulations.
- Research and analyze domestic and international insurance regulatory laws that may create risk for or otherwise affect the organization; counsel internal business clients on the business implications of these laws; and assist in developing policies, procedures and risk mitigation strategies.
- Identify and analyze legal and regulatory issues, draft key documents, present clear recommendations, and assist with ensuring legal and regulatory compliance of the organization's property and casualty insurance business internationally.
- Collaborate closely with colleagues in all of the teams global locations. Work on other matters as assigned.
The Ideal Candidate:
- A minimum of 4-6 years of substantive experience as an attorney in an insurance company and/or medium to large size law firm, focusing on commercial insurance transactional and regulatory matters. Law firm commercial insurance coverage litigation experience may also be considered.
- Strong legal skills and experience across a broad range of areas within the context of commercial insurance and familiarity with applicable legal concepts, practices, and procedures.
- Strong understanding of commercial insurance business operations, the commercial insurance regulatory framework and general corporate laws, and their practical application to day-to-day business.
- Familiarity with corporate governance laws and practices preferred.
- Strong skills and abilities in the following areas: communicate effectively and efficiently, both written and oral; Research, writing, analytical, interpersonal, and critical thinking.
- Commercial negotiation; Work well both individually and in a collaborative environment; Handle multiple projects with varying degrees of urgency and meet both target and fixed deadlines; and Attention to detail, project management, and organization.
