Oliver James have partnered with a globally recognised Asset Manager to appoint a senior Company Secretary into the organisation in a newly created role focusing on ensuring effective corporate governance between the Boards, Board Committees and business is operating effectively.
The successful candidate will sit among a team of 7 strong corporate governance professionals and will interact with a wide range of departments from compliance, investment and risk reporting and operations while also expected to attend, manage and participate in Board and Committee meetings.
- The core responsibilities for the position include but not limited to the following;
- Support the governance and control framework in place across the European business by adherence to the processes and procedures in place to meet all regulatory and statuary
- Develop and enhance Board & Committees processes and controls in response to regulatory and industry changes
- Provide input and advice to the business and directors with regard to board governance matters
- Report to the board and committee's on relevant matters such as delegated authority, board policies and procedures along with more general corporate governance matters.
- Manage the business of a range of corporate entities and/or committees.
- Building and maintaining excellent relationships with the Chairpersons and Directors of each entity for which you're responsible.
- Building and maintaining excellent relationships with senior team members including the CEO, COO, CCRO, CRO and DP's.
- Ensure Company Secretary matters are properly managed
- Work with the wider team to ensure that submissions are of high standard and suitable for relevant Boards and it's Committees
The successful candidate will ideally be ICSA qualified or working towards the qualification and have a minimum of 8+ years experience working in a company secretary environment either internally or within a professional services firm.
You will also have a good knowledge of the Irish regulatory environment, fund management companies and CP86. The successful candidate will also posses strong minute taking ability and strong communication skills given the nature of this role.
